When Do Liability Caps and Exclusion Clauses Really Bite (and When Does UCTA Bite Back)?

Commercial parties often assume that their contractual limitation and exclusion clauses will hold – but that is not always the case. This seminar examines when contractual constraints on liability are likely to be upheld, and when they may fail as a matter of construction or as a result of the Unfair Contract Terms Act 1977 (UCTA) (spoiler – UCTA bites harder and more often than you might expect). Attendees will leave with a practical checklist for drafting, negotiating, and litigating contract limitations, including how to frame (or challenge) evidence and how to navigate arguments on construction.
