When Do Liability Caps and Exclusion Clauses Really Bite (and When Does UCTA Bite Back)?
4 Jun 09:00 - 10:30
Commercial parties often assume that their contractual limitation and exclusion clauses will hold – but that is not always the case. This seminar examines when contractual constraints on liability are likely to be upheld, and when they may fail as a matter of construction or as a result of the Unfair Contract Terms Act 1977 (UCTA) (spoiler – UCTA bites harder and more often than you might expect). Attendees will leave with a practical checklist for drafting, negotiating, and litigating contract limitations, including how to frame (or challenge) evidence and how to navigate arguments on construction. Please join us from 08.30 for registration and breakfast, ahead of the discussion starting at 09.00.
