Recent decisions in England and internationally have reshaped the law on shareholder rights’ in respect of privileged advice and directors' fiduciary duties. Drawing on key rulings in Saxon Woods (dishonesty and section 172 CA 2006), Tianrui (personal claims by shareholders for breach of fiduciary duty), and the Privy Council's landmark abolition of the 'shareholder rule' on privilege in Jardine, the panel will use a practical case study to explore how minority shareholders can hold companies and their directors to account. The panel will also provide the key takeaways from the case law and practical tips for resolving these disputes.
